Terms of service

1. Acceptance of terms

By accessing or using the services of Loryx Tech Pty Ltd (ABN 98 700 010 699, ACN 700 010 699), you agree to be bound by these terms of service and our privacy policy. If you do not agree, do not use our services.

2. Services

Loryx Tech Pty Ltd provides technology services including cloud infrastructure, cybersecurity, software development, network solutions, IT consulting, and data analytics. Specific services are described on our services page. We reserve the right to update or modify the services we offer at any time.

3. Intellectual property

All intellectual property rights in the services, deliverables, documentation, and materials produced by Loryx Tech Pty Ltd are retained by Loryx Tech Pty Ltd unless otherwise agreed in writing. Upon full payment for a service, we grant the client a non-exclusive, perpetual, worldwide licence to use the deliverables for their business purposes. Source code ownership is governed by the separate software licence agreement applicable to each engagement.

All trade names, logos, brands, and service marks displayed on this website are the property of Loryx Tech Pty Ltd.

4. Client responsibilities

Clients are responsible for:

• Providing accurate and complete information required for service delivery
• Obtaining all necessary approvals, licences, and consents for any materials or data provided to Loryx Tech Pty Ltd
• Ensuring that project requirements are clearly communicated in writing
• Timely payment for services rendered

5. Fees and payment

All fees are quoted in Australian dollars (AUD). Payment terms are as specified in the service agreement. Late payments may attract interest at a rate of 1.5% per month or the rate permitted by law, whichever is lower. Loryx Tech Pty Ltd reserves the right to suspend services if payment is overdue by more than 30 days.

6. Limitation of liability

To the fullest extent permitted by the Australian Consumer Law (ACL) and applicable legislation:

• Our total liability arising from or relating to these terms or the services we provide is limited to the total fees paid by the client for the specific service in respect of which the claim arose.
• Loryx Tech Pty Ltd is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity.
• We do not warrant that the services will be uninterrupted, error-free, or free from security vulnerabilities.

The limitations in this clause do not apply to liability arising from death or personal injury caused by negligence, nor to fraud or fraudulent misrepresentation.

7. Governing law

These terms are governed by and construed in accordance with the laws of the State of Western Australia (WA). Any disputes arising under these terms will be resolved in the courts of Western Australia, and each party irrevocably submits to the jurisdiction of those courts.

8. Termination

Either party may terminate a service agreement upon written notice:

• By the client: Notice may be given at any time. The client remains liable for all fees accrued up to the date of termination for services already delivered or in progress.
• By Loryx Tech Pty Ltd: We may terminate a service agreement immediately if the client breaches these terms, fails to pay undisputed invoices, or if continuing the engagement would expose Loryx Tech Pty Ltd to unacceptable risk.

Upon termination, Loryx Tech Pty Ltd will deliver all work product completed at the time of termination. The client will be invoiced for all services rendered up to the termination date, plus any costs incurred on behalf of the client.

9. Confidentiality

Both parties agree to keep confidential all proprietary and business-sensitive information disclosed during the course of a service engagement. This obligation survives the termination of the agreement for a period of three years.

10. Changes to these terms

Loryx Tech Pty Ltd may update these terms from time to time. Material changes will be communicated via email to the contact address on file or by posting the updated terms on this website. Continued use of services after changes are posted constitutes acceptance of the revised terms.
